Registered Agent

A registered agent is an agent, or organization, who may be served any process, notice, legal documents, or demands that may be required or permitted by law to be served on behalf of a business. The Texas Business Organization's Code ("BOC") requires every domestic or foreign registered business to maintain a registered agent or office in the state of Texas. If an entity fails to maintain a registered agent at all times, the company takes a risky chance on involuntary termination or revocation of a foreign entity's registration.

As a registered agent, we are required to complete a signed consent form, which will remain on file with the Secretary of the State of Texas until any such changes are made. The entity of representation, and the registered agent or office shall retain a copy of the consent as well.  As a result of PBS becoming a registered agent in the State of Texas, at this time we can only accept clients if their business is incorporated in the the domestic jurisdiction of Texas, or, if the state where you provide service is in Texas.

Our basic registered agent service package include a registered agent address location within the state of Texas and a dedicated team to receive and forward all service of process and legal notifications for a yearly fee to be paid upon the consent of services. 

The more comprehensive  service package include the basic services, along with a name availability check and reservation of your desired business name, preparation and filing of all legal documents and Articles of Incorporation with the state, filing for your EIN with the Internal Revenue Service, establishing your franchise tax account with the Secretary of State, and filing for your Sales and Use Tax Permit if applicable. The fee for this service includes the basic service fee plus the registration fee for the state of incorporation, and consulting fees.

Both packages also include a free filing of your Franchise Tax Return which is required by the Secretary of State each year.
